Draft, pending legal review

This page is a working draft. It has not yet been reviewed by legal counsel and may change before PartnaPay launches. Text in square brackets is a placeholder that will be completed during that review.

These terms explain what PartnaPay does, what it does not do, and what we and every organizer and member agree to when using it.

01About these terms

These terms are an agreement between you and [Legal entity name], the operator of PartnaPay (“PartnaPay”, “we”, “us”). They apply to the PartnaPay website, organizer console, and mobile apps. By creating an account or joining a group, you agree to them.

Each group also has its own rules, set by its organizer, which you accept before you join. If a group’s rules conflict with these terms, these terms apply.

02What PartnaPay is, and is not

PartnaPay is software that helps trusted, invite-only groups run a partner draw: a rotating arrangement where every member contributes a fixed amount each cycle and one hand receives the pot each cycle until every hand has had its turn.

PartnaPay is not:

  • a bank, credit union, or other deposit-taking institution;
  • a savings, investment, or interest-bearing product;
  • a lender or credit provider; or
  • a guarantee that any member will pay, or that any payout will be made.

A partner draw depends on every member paying on time. PartnaPay records activity and helps the group stay organized, but it does not guarantee payment by other members.

03Pre-launch status

PartnaPay does not yet collect or hold real money for groups. Card payments, payouts, and receipts in the product currently run in a test environment and do not move real funds.

Before live payments are offered, we will update these terms with the payment-specific terms that apply, including how funds are collected and held, refunds, chargebacks, and payout timing, and ask you to accept them.

04Your account

  • You must be at least [Minimum age] and able to enter into a binding agreement to use PartnaPay.
  • Give accurate information, and keep it up to date. An account is for one person.
  • Keep your password private. You are responsible for activity on your account; tell us straight away if you think someone else has used it.

05Groups, organizers, and members

Organizers create a group and set its contribution amount, frequency, number of hands, payout order, rules, and platform fee before members join. Organizers invite members, can require approval before someone joins, and are responsible for managing their group fairly and in line with its rules.

Members join by invite and accept the group rules, including the platform fee and the resulting net payout, before joining. Each hand you hold carries its own contribution obligation and payout position.

The commitments members make to one another are between the members of the group. PartnaPay is not a party to them and does not enforce them beyond the tools the product provides.

06Contributions, payouts, and fees

The section above on pre-launch status applies here. When live payments are offered, PartnaPay is designed to work as follows:

  • Contributions are charged to a card you save in the app, either automatically on each due date if you turn on auto-pay, or when you choose to pay. You can pause or turn off auto-pay at any time.
  • Card details are handled by our card processor. PartnaPay does not store full card numbers or security codes.
  • A cycle’s payout is released only after every contribution for that cycle has been paid or waived by the organizer, and after the required approvals.
  • A platform fee, shown as a percentage before you join, is deducted from each payout. Receipts show the gross amount, the fee, and the net amount.
  • The recipient is asked to confirm when a payout has been received.

07Missed payments and disputes

If a contribution is missed, the organizer can mark it late or waive it, and the record stays in the group’s history. Members can raise a dispute about a payment or payout in the app. PartnaPay keeps the records that help a group resolve disagreements, but it is not responsible for recovering money one member owes another.

08Acceptable use

You agree not to:

  • use PartnaPay for anything unlawful, including fraud or money laundering;
  • create groups that mislead or pressure people into joining;
  • impersonate anyone or use another person’s card or account;
  • interfere with, probe, or overload the service, or try to get around its limits or security; or
  • harass or abuse other users.

09Suspension and closing your account

We may restrict or suspend an account that breaks these terms or puts other users at risk. You can ask us to close your account at any time. Records of payments, payouts, and group activity may be kept after closure where the law or the needs of other group members require it, as described in our Privacy Policy.

10Disclaimers and liability

We work to keep PartnaPay available and accurate, but the service is provided as it is and may sometimes be unavailable or contain errors.

To the extent the law allows, PartnaPay is not liable for losses caused by another member failing to pay, by an organizer’s decisions, or by events outside our reasonable control. Nothing in these terms limits rights you have under consumer protection law that cannot be limited. [Limitation of liability terms]

11Changes to these terms

We may update these terms as PartnaPay changes. We will tell you about significant changes in the app or by email before they take effect. If you keep using PartnaPay after that, the updated terms apply.

12Governing law and contact

These terms are governed by the laws of [Governing law and jurisdiction].
